This Agreement is by and between GLOBE7 HK Limited (a limited liability company established and organised under the laws of Hong Kong with its address being Unit 712a, Level 7, Core D, Cyberport 3, 100 Cyberport Road, Hong Kong.) on behalf of itself and its parent, subsidiary and affiliate companies (Collectively known as The Company) and the original equipment manufacturer(OEM) of the GLOBE7 enabled USB telephone equipment, You.

Globe7 HK LIMITED and You agree to the following terms and conditions:

GLOBE 7 HK Ltd., OFFERS TO PROVIDE THE GLOBE7 ENABLED USB PHONE SERVICES TO YOU WITH THE FOLLOWING TERMS AND CONDITIONS AS SET OUT IN THIS AGREEMENT.

ONCE YOU ACCEPT THIS AGREEMENT, BELOW, AND VLUNTARILY DOWNLOAD THIS SOFTWARE PROGRAM MADE AVAILABLE FOR FREE OF COST HEREIN AND USE THIS SOFTWARE PROGRAM OR PERMIT THE USE OF THE GLOBE7 USB PHONE SOFTWARE PROVIDED TO YOU ON THIS WEB-SITE, YOU AGREE THAT YOU AND ANY OF YOUR AUTHORISED PERSONS SHALL BE BOUND BY THE TERMS AND CONDITIONS AS SET OUT IN THIS AGREEMENT.

1. You agree that by using the software made available to You for free of cost, which enables the USB hardware phone manufactured by You to be compatible for Globe7 Soft phone users to display logo of GLOBE7 with or without the wording 'compatible' on the USB phone so manufactured by You.

2. You agree to integrate the software downloaded herein with the hardware USB manufactured by You following the instructions carefully and test it for effective functioning of GLOBE7 phone and certify the hardware and its compatibility with GLOBE7 phone before you display the logo of GLOBE7 compatible and market.

3. You agree that under no circumstances You shall not make the Company liable, whether in contract, warranty, tort (including negligence), product liability or any other form of liability, for any indirect, incidental, special or consequential damages arising out of the failure of the functioning of the hardware either due to the failure of workability of the software or the failure of the software and hardware integration. Hence, to avoid all such eventualities, You go through the instruction kit supplied by the Company while integrating the software with the hardware of your make and ensure its effective functioning before You display the log of GLOBE7 and market such USB phone as GLOBE7 compatible.

4. You agree to make an express mention in your user manual or any other literature associating with the hardware USB phone of your make to the effect that the Company shall not be liable as to the warranty or the workability of the USB phone device of your manufacture.

5. The Company retains the right to revoke this Agreement at its sole discretion with a notice to You either in writing or by way of an e-mail communication to You.

6. You acknowledge the Company's Intellectual Property Rights to the trademark, software and other proprietary material of the Company and You also agree that this agreement do not transfer any of the Company's Intellectual Property Rights to You and consequentially You do not manipulate the same to your advantage without express or implied authorization from the Company. However, this Agreement implies that the software downloaded herein can be used to integrate with your hardware USB phones manufactured by You as sub-license to the end-users of the hardware USB phone so manufactured by You.

7. You are obliged to maintain the confidentiality of the information or communications that are exchanged between You and the Company or any of its authorized third parties relating to the technicalities of the software downloaded herein or any of the updates/developments to this software.

8. You hereby agree that all or any of the disputes arising out of this Agreement to be submitted to the judicial jurisdiction of the Courts in Hong Kong. The obligations of the parties, by nature of this Agreement to the terms and conditions may sustain even after the expiration or termination of this Agreement and shall bind the parties, their assigns, legal heirs and representatives.
